Welcome to CRZILS (PRIVATE) LIMITED (“CRZILS,” “we,” “our,” or “us”). These Terms of Service govern your access to and use of our website, digital services, consultations, and other services provided by CRZILS.

By accessing our website, requesting a quotation, entering into a project agreement, or engaging our services, you acknowledge that you have read, understood, and agreed to these Terms of Service.

1. Our Services

CRZILS provides professional digital and creative services, including but not limited to:

  • Web Design & Development
  • Ecommerce Solutions
  • Graphic Design & Branding
  • Digital Marketing
  • Search Engine Optimization (SEO)
  • Social Media Management
  • Content Creation & Marketing
  • Video Editing
  • Audio Editing
  • Business Consultancy
  • Website Maintenance & Support

The exact services, deliverables, timelines, and responsibilities for each project will be defined in the applicable quotation, proposal, statement of work, or service agreement.

2. Project Consultation & Requirements

Before beginning a project, CRZILS may collect information regarding your business, objectives, target audience, branding, technical requirements, and desired outcomes.

You agree to provide accurate, complete, and timely information required for us to perform the agreed services.

Delays caused by missing content, credentials, approvals, feedback, or other client dependencies may affect the agreed project timeline.

3. Quotations & Proposals

Project pricing is based on the scope and requirements discussed at the time of quotation.

Unless otherwise stated:

  • Quotations are valid for the period specified in the proposal.
  • Additional requirements outside the agreed scope may result in additional charges.
  • Third-party costs, licenses, subscriptions, hosting, domains, advertising budgets, plugins, applications, stock assets, and similar expenses may be charged separately.
  • A project will proceed once the client accepts the proposal and satisfies the agreed payment requirements.

4. Payments

Payment terms will be communicated and agreed before project commencement.

Depending on the project, CRZILS may require an upfront payment, milestone payments, or full payment before delivery.

Unless otherwise agreed in writing:

  • Work may begin after the required initial payment is received.
  • Milestone-based projects require payment before the next applicable phase begins.
  • Late payments may result in project delays or temporary suspension of services.
  • Payments already made may be non-refundable where work has already been performed or costs have been incurred.

5. Scope of Work

CRZILS will provide the services and deliverables specifically included in the agreed project scope.

Requests that are outside the original scope may be treated as additional work and may require:

  • Additional fees
  • Additional development time
  • Revised delivery timelines
  • A separate quotation or approval

We will communicate significant scope changes with the client before proceeding where reasonably possible.

6. Revisions & Approvals

The number of revisions included in a project will depend on the agreed proposal or service package.

Clients are responsible for reviewing submitted work and providing consolidated, clear feedback within a reasonable timeframe.

Once a deliverable has been approved, substantial changes that alter the approved direction may be considered additional work.

7. Client Responsibilities

The client is responsible for providing accurate information, content, branding materials, access credentials, approvals, and feedback necessary to complete the project.

The client must ensure that materials supplied to CRZILS do not knowingly violate third-party copyrights, trademarks, privacy rights, or other legal rights.

CRZILS is not responsible for delays resulting from information, materials, approvals, or access that are not provided on time.

8. Website & Development Services

For website and development projects, functionality will be based on the agreed requirements and technical specifications.

Unless specifically included in the project scope, the following may be charged separately:

  • Premium themes and plugins
  • Third-party applications
  • Hosting and domain services
  • Paid APIs and integrations
  • Third-party software subscriptions
  • Ongoing maintenance and support

CRZILS will make reasonable efforts to ensure websites are responsive and functional across commonly used devices and browsers. However, exact behavior may vary due to third-party software, browser updates, hosting environments, or external platform changes.

9. Ecommerce Services

For ecommerce projects, CRZILS may assist with store design, development, product setup, integrations, optimization, and related services.

The client remains responsible for:

  • Product legality and authenticity
  • Product pricing and availability
  • Inventory information
  • Shipping policies
  • Taxes and duties
  • Payment provider requirements
  • Product claims and descriptions
  • Compliance with applicable ecommerce laws

CRZILS does not guarantee sales, revenue, customer volume, or profitability from an ecommerce project.

10. Digital Marketing & SEO

Digital marketing and SEO services are intended to improve online visibility, engagement, traffic, and business opportunities.

However, CRZILS does not guarantee specific rankings, traffic levels, leads, sales, advertising results, or revenue because these outcomes can depend on search engines, advertising platforms, competition, market conditions, algorithms, budgets, audience behavior, and other external factors.

Advertising budgets paid to platforms such as search engines or social networks are separate from CRZILS service fees unless explicitly stated otherwise.

11. Social Media Services

Where social media management is included, the agreed package will determine the number and type of posts, content, platforms, publishing schedule, and management activities.

Clients are responsible for providing accurate business information and approving content where approval is required.

Platform policies, algorithm changes, account restrictions, outages, or third-party actions are outside CRZILS’s direct control.

12. Intellectual Property

Unless otherwise agreed in writing, ownership of final custom deliverables may transfer to the client after all applicable project payments have been received.

Third-party assets, including fonts, stock images, plugins, themes, templates, software, applications, APIs, and licensed materials, remain subject to their respective licenses and terms.

CRZILS may retain ownership of pre-existing tools, frameworks, reusable code, processes, templates, concepts, and internal methodologies used to produce a project.

13. Client Materials

The client retains ownership of materials supplied to CRZILS, including logos, images, text, videos, product information, and other proprietary content.

By providing these materials, the client confirms that they have the necessary rights or permissions to use them and authorize CRZILS to use them for the purpose of delivering the agreed services.

14. Confidentiality

CRZILS respects the confidentiality of client information and will use confidential business information primarily for the purpose of providing agreed services.

We will not intentionally disclose confidential client information to unrelated third parties except where:

  • Required to provide an agreed service
  • Required by law or legal process
  • Necessary to protect our rights, systems, users, or security
  • Authorized by the client

15. Third-Party Services

CRZILS may use or integrate third-party platforms, applications, hosting providers, payment systems, advertising platforms, plugins, APIs, or other external services.

We are not responsible for changes, downtime, pricing, restrictions, security incidents, policy changes, or failures caused by third-party providers.

Where a third-party service is required for a project, the client may be responsible for its subscription or usage costs.

16. Project Delays

CRZILS will make reasonable efforts to meet agreed timelines.

However, delivery dates may change due to:

  • Delayed client feedback
  • Missing content or credentials
  • Scope changes
  • Third-party platform issues
  • Technical complications
  • Unexpected development requirements
  • Force majeure events

We will communicate significant delays when reasonably possible.

17. Cancellation & Termination

Either party may request termination of an ongoing service or project subject to the applicable project agreement.

If a client cancels a project after work has started, the client may remain responsible for payment for completed work, approved milestones, non-refundable third-party costs, and other costs already incurred.

CRZILS may suspend or terminate services where the client fails to make required payments, repeatedly breaches these Terms, provides unlawful instructions, or engages in abusive, fraudulent, or harmful conduct.

18. Refunds

Refund eligibility depends on the nature of the service, work already completed, applicable agreement, and payment terms.

Because many CRZILS services involve customized work, development time, creative production, strategy, or third-party costs, payments for completed work may not be refundable.

Any specific refund terms agreed in a project proposal or service agreement will take precedence for that project.

19. Warranties & Disclaimers

CRZILS will perform services with reasonable professional care and skill.

However, we do not guarantee that:

  • A website will remain completely free from technical issues
  • Search rankings will remain constant
  • Advertising platforms will deliver a specific result
  • A project will generate a particular amount of revenue
  • Third-party platforms will remain available or unchanged
  • Business results will occur within a specific timeframe

Digital performance depends on numerous factors outside our direct control.

20. Limitation of Liability

To the maximum extent permitted by applicable law, CRZILS will not be liable for indirect, incidental, consequential, special, or loss-of-profit damages arising from the use of our services or third-party platforms.

Our liability, where legally permitted, will be limited to the amount paid by the client for the specific service giving rise to the claim.

Nothing in these Terms is intended to exclude liability that cannot legally be excluded or limited.

21. Acceptable Use

Clients must not use CRZILS services for unlawful, fraudulent, deceptive, abusive, malicious, or harmful activities.

We reserve the right to refuse or suspend services where we reasonably believe a project may involve illegal activity, infringement, fraud, abuse, or significant risk to our systems or personnel.

22. Communication

Project communication may take place through email, messaging applications, project management platforms, video meetings, or other agreed channels.

Clients are encouraged to maintain clear and timely communication throughout the project to avoid unnecessary delays.

23. Portfolio & Marketing Rights

Unless otherwise agreed in writing, CRZILS may display completed work as part of its portfolio, website, social media, case studies, or promotional materials.

If a project contains confidential information or the client requests confidentiality, CRZILS will respect the applicable confidentiality arrangement.

24. Changes to These Terms

CRZILS may update these Terms of Service from time to time to reflect changes in our services, business practices, technology, or legal requirements.

Updated Terms will be published on this page with a revised “Last Updated” date.

25. Governing Law

These Terms shall be interpreted and applied in accordance with the laws applicable to CRZILS and the jurisdiction identified in the relevant project agreement.

Where a specific client agreement contains different governing-law or dispute-resolution provisions, those provisions will apply to that particular engagement.
